Step 1
According to the current Russian legislation, an agreement can be concluded in any form, except in cases where the law requires a certain form for certain types of agreements. Legal entities cannot conclude a contract orally, for them the written conclusion of the contract is mandatory.

Therefore, invoices-contracts have become so popular, combining two documents - an invoice and an agreement. The contract invoice confirms the fact of the transaction and the preliminary agreement on its implementation. Invoices and contract invoices do not have a specific form, so they can be written arbitrarily.

To draw up an invoice-agreement in the title of the invoice, you need to add the word "agreement", and also pay attention to the presence in the document of conditions that are characteristic of the agreement. That is, you need to indicate the subject of the contract (supply of material values, provision of services, etc.), the term of the contract, terms of payment and delivery of goods, product quality, responsibility of the parties and other conditions. The document must be signed by officials - the general director and the chief accountant.

The invoice-agreement is made in duplicate with equal legal force and is issued to the parties carrying out the transaction. After signing the invoice-contract, all preliminary agreements on it, correspondence and agreements become null and void.

In order not to suffer with invoicing contracts and their simultaneous signing by two parties, in most cases (when there are simple types of work or goods are supplied for small amounts), some firms practice issuing contract invoices with a one-sided signature (supplier). In this case, the clause is indicated in the contract invoice that in case of payment by the customer, the contract invoice is considered concluded and the customer agrees with all its terms. The invoice-contract is sealed with the seal of the company and given to the customer for review and payment.
