The contract for the supply of goods, concluded between the seller and the buyer, is one of the most common and standard documents. If the seller turns out to be unreliable, you risk entering into such an agreement. Therefore, you need to correctly draw up a contract for the supply of goods in order to insure yourself in case of litigation.

Step 1
According to Art. 432 of the Civil Code of the Russian Federation, the contract is considered concluded only if both parties confirm their agreement with all the essential conditions specified in it. Therefore, the presence of such conditions in the text of this document is mandatory. One of them is a clause describing the subject of the contract. In your case, this is the name of the product and its quantity. In the contract, you can use a general description of the goods: "finishing materials", "women's clothing", "stationery", but be sure to describe in detail the required assortment and quantity in the application, specification or attachment. And do not forget to refer to the document-attachment in the text of the contract itself.
Step 2
Terms on the price, size of a specific batch of goods, the timing of their delivery also agree with the seller in the specification, application, delivery note or a separate list-attachment. These documents must also contain a link confirming that the listed goods are the subject of this agreement.
Step 3
Clearly write down in the text of the contract the procedure for coordinating the supplied assortment of goods, their quantity and delivery time for each specific batch. The approval document can also be a preliminary application or invoice.
Step 4
The procedure for drawing up a contract looks like this: first, the buyer sends a preliminary application to the seller, in which he indicates the required assortment, quantity, delivery time and cost of the goods (if the quantity of goods is expressed in monetary terms). The seller agrees on the proposed conditions, signs the application and sends it to the buyer by fax or e-mail.
Step 5
Draw up a contract based on the preliminary application agreed with the supplier. Before drawing up and receiving the original contract, keep all copies of electronic documents so that you can check the original material terms. In the text of the agreement, write a clause stating that the seller and the buyer exchanged applications electronically or by fax. This will help you to hedge in court if the original documents are missing.
