At various stages of the organization's activities, it may be necessary to change its name. The procedure for registering changes in the name of an LLC or individual entrepreneur is regulated by Federal Laws No. 129-FZ (dated August 8, 2001) and No. 14-FZ (dated February 8, 1998).
Instructions
Step 1
Prepare a draft changeable data in the founding documents of the organization. Conduct a general meeting of the founders of the organization, following which a protocol should be drawn up on amending the charter documents In this case, an agreement on establishment is concluded between the founders, where the procedure for carrying out activities is determined, the amount of the authorized capital, as well as the size and value of the share of each of the founders, is determined.
Step 2
Draw up an application for state registration of all changes made to the constituent documents of the organization, and submit it to the tax department at the location of the executive body of the organization. Certify it with your seal and signature, whose authenticity must be confirmed by a notary. To find out the procedure for filling out the existing application form, read the Order of the Federal Tax Service No. SAE-Z-09/16, paragraph A (dated November 1, 2004). The application must be submitted both on paper and on electronic media.
Step 3
Attach to your application all statutory documents of your organization (certified copies), which should contain the information necessary for re-registration of the name. Pay the state duty in the amount established by law, having received the requisites for issuing a receipt from the tax authorities. Please note: both the application and the package of documents can be sent by mail to the appropriate department of the tax authorities by registered parcel post with notification.
Step 4
If, in addition to the name, you have decided to change the legal address of the organization, the tax authorities will have to make changes to the USRIP / USRLE and send your registration file to your colleagues in accordance with the new address.
Step 5
Receive from the tax office within 5 days from the date of submission of documents a new certificate of making updated entries in the Unified State Register of Legal Entities / USRIP. To obtain certified copies of your organization's new statutes, please complete a statement. Attach to it the originals of the required documents and send it to the tax authorities.
