For registration of legal entities incl. limited liability companies, you must fill out an application form R-11001. A prerequisite for filling out is compliance with the requirements for this document.
Instructions
Step 1
In the address part of the application, indicate the address of the tax office where you are submitting the document. In the paragraph, the organizational and legal form of a legal entity, indicate: Limited Liability Company. Next, write the full and abbreviated company name of the LLC in Russian. After that, you will need to provide the address of the organization in accordance with the constituent documents of the person being created and the number of founders.
Step 2
Fill in sheet "A" only if there are legal entities among the founders of the LLC. On sheet "B" you need to provide information about the founder - an individual. Indicate all data in accordance with the passport, if there is no TIN, put dashes in the appropriate cells. Be sure to indicate the address of the place of residence not only according to your passport, but also in accordance with the Classifier of addresses of Russia (KLADR). In the field of information about the authorized capital in subparagraph 6.1. write the size of the capital in figures, and opposite the phrase: "Authorized capital" - put a tick. Next, we enter the persons entitled to act without a power of attorney on behalf of the legal entity, and on sheet "E" we indicate their passport data.
Step 3
If necessary, enter information about the managing organization on sheet "F" or an individual entrepreneur - sheet 3. If an LLC has branches, put a tick in subparagraph 10.1 and fill out sheet "I". If you plan to open representative offices, then fill out the "K" sheet, and put a tick in front of paragraph 10.2. On sheet "M" you provide information on the number of activities of the legal entity. This sheet must be filled out in accordance with the All-Russian Classifier of Economic Activities (OKVED). In the cells on the left side, enter the code of the type of activity, consisting of at least three numbers, first indicate the main type of activity, and on the right side, the name of the type of activity according to OKVED. Be sure to attach sheet "H" by filling in only two pages, fill in the last page only with a notary.
