Step 1
Initially, you need to create the Articles of Association. This is the main document of your future organization, it must contain the full name, legal address, amount of the authorized capital, types of commercial activities in which the LLC will operate.
Step 2
To create a society, you need a document - the Decision on the creation of a society, signed by you. It contains the name, legal address, size of the authorized capital. The Decision also identifies the governing body (for example, the Director General). The document is printed in 2 copies.
Step 3
Fill out an application on form 11001, indicate in it the following data: company name, legal address, size of authorized capital, list of activities, legal address, your passport data.
Step 4
To receive a copy of the company's charter, you need to fill out an application in which you indicate: the full name of the organization, the number and date of the decision to establish the company, your passport data.
Step 5
If you are going to work with a simplified taxation system, you need to submit an application for the use of the simplified tax system along with the registration documents.
Step 6
At a notary, you need to certify the signature on your completed application 11001. At any branch of Sberbank, pay the fee for the state registration of an LLC and the issuance of a copy of the charter (4000 rubles and 400 rubles).
Step 7
Submit to the tax service at the location of the legal entity (according to the legal address): the charter of the company, the decision to create, the application for registration of the LLC, the receipt of payment of the state fee, the application for the transition to the simplified tax system, the application for a copy of the charter, information about the general director and the chief accountant of the company, information on the methods of contributing funds or property to the authorized capital.
Step 8
5 days after the tax authority receives a package of registration documents, you will be given: a certificate of state registration, an extract from the Unified State Register of Legal Entities, a copy of the charter and a certificate of registration with the tax authority.
