In companies with the legal form of LLC, the registration of a director occurs with some peculiarities, in contrast to the hiring of an ordinary specialist. The appointment of a manager is carried out by decision of the owners of the company. Moreover, the tax service is notified of the change of the sole executive body by submitting an application. Step 1

Typically, applicants for rank-and-file positions draw up job applications. This obligation does not apply to the director. The appointment of the head takes place by a meeting of the owners of the organization. Draw up a protocol. In the "header" of the document, write the name of the company in accordance with the charter. Indicate the number, date of the protocol.

Step 2

Place the appointment of a director on the agenda. Enter the personal information of the new manager. If the firm is just created, the agenda will only be the appointment of the sole executive body. When an enterprise has existed for some time, and the company was managed by another person, the protocol allows to consider both the removal of the old director from the post and the appointment of a new one.

Step 3

Please note that according to Article 81 of the Labor Code of the Russian Federation, it is possible to dismiss the manager without his consent if the only participant in the enterprise is changed. When one of the owners of the organization is excluded, it will not be possible to terminate the contract with the director.

Step 4

After drawing up the minutes, the new director issues an order. At the disposal, the manager attributes the appointment of himself to the position. The sole executive body certifies the order with its signature in the field for the receipt of the employee, as well as the employer. The protocol serves as the basis.

Step 5

Make a contract with the director. List his responsibilities and rights. Please note that the manager does not have the right to conclude an agreement with himself. Assign the signing of the document on behalf of the employer to the chairman of the board of participants or the sole owner of the firm.

Step 6

Make an entry in the director's work book. In the information about the job, write that he was appointed as the head of the company. Specify the date, protocol or order number as the basis. You can enter the details of both, but usually it is enough to indicate only one of the documents.

Step 7

Make a statement. Use form p14001. When a director is changed, this application is filled in by the old and new director. The form is accompanied by the minutes of the board of founders, as well as copies of the passports of managers. The documentation is transferred to the tax authority, where changes are made to the Unified State Register of Legal Entities within 10 days.
