Step 1

The decision to change the head, made by the general meeting, must be recorded in the minutes. Get the signatures of the chairman and secretary of the meeting, certify them with the seal of the enterprise. If the founder of the LLC is the only participant, then the basis is his sole decision.

Step 2

The documents submitted to the tax office must be previously certified by a notary. Prepare the required package of documents and attach it to the application for amendments to the Unified State Register of Legal Entities, filled in according to the unified form R14001. Pay attention to filling out the application form, do not allow corrections. One, put in the wrong place, "tick" can serve as a reason for refusal to accept the application.

Step 3

Attach to the application two sheets filled in according to the approved form - with information about the applicant and with the information of a person who has the right to act on behalf of the company without a power of attorney. Only a manager, both old and new, can apply to the tax office as an applicant. This is usually done by the new management.

Step 4

Pay the state fee for making changes to the UGRL and attach it to the package of documents. Provide the notary with the originals of the certificate of assignment of TIN, OGRN. In the package of documents, attach all evidence of previously made changes to the constituent documents, if they have ever been made. In addition, it will be necessary to provide primary documents: the minutes of the meeting on the establishment of the LLC, the minutes of the meeting with the decision to change the head, the order on the appointment of the current head, the charter of the company and an extract from their Unified State Register of Legal Entities.

Step 5

To register and formalize the change of director at the tax office, collect a package of documents in which you attach the minutes of the meeting with the decision to dismiss the old and appoint a new leader, as well as an appointment order, which is signed by the person appointed to this position. In addition, you will need a notarized P14001 statement.
