A bank representative office is a separate subdivision. It is located on a different territory than the bank itself, and represents and protects its interests. Unlike a branch, a representative office cannot perform banking operations. Despite the fact that the representative office is not a legal entity and operates according to the same provisions as the parent organization that formed it, the opening is associated with the preparation of a fairly large number of documents.

- - seal and samples of signatures of the heads of the new division.
Instructions
Step 1
Take care of opening separate subdivisions, be it a representative office or a branch, in advance. The corresponding decision must be made by the governing body of your credit institution. As a rule, this is the board of directors. He also sets the date for opening a representative office.
Step 2
Make the necessary changes to the bank's charter. This is usually done at the next annual general meeting. The charter should reflect exactly which branches and representative offices the bank has, which is provided for by Instruction No. 75-I of the Central Bank of Russia dated July 23, 1998. Changes to the charter are also made when separate subdivisions are closed. Open a checking account for a new dealership.
Step 3
Prepare an office space. It is necessary to put it in order until the moment when you send a notification to the Bank of Russia. The property belongs to the bank and is on its balance sheet and on the balance sheet of a separate subdivision.
Step 4
Prepare documents for future employees and managers. You must have orders for hiring or transferring from other departments, for appointment to a position. You need a power of attorney, since the representative office acts on behalf of the bank. This is also done before the notification is sent. The procedure for issuing a power of attorney is determined by Article 185 of the Civil Code of the Russian Federation. As a rule, a notarized document is required, since the bank representative receives the authority to conclude transactions on behalf of the bank and sign documents. The power of attorney must be signed by the head of the bank or another person with the appropriate authority.
Step 5
Order seals and stamps for your new dealership. They must be ready and received before you send a notification to the Bank of Russia. It is advisable to order not only official and other necessary seals, but also facsimile stamps.
Step 6
Prepare a notification for the Bank of Russia. It must be printed in duplicate. They are sent to different institutions. One copy is transferred to the branch that supervises your bank, and the second to the one that is located in the same territory as your future representative office. Attach a statement of representation to each copy of the notice. This must be done within ten days from the date of the start of the representative office.
Step 7
The territorial office of the Bank of Russia, whose functions include supervision of your bank, must enter the representative office in the register of representative offices of credit and audit firms and inform you within five days from the date of receipt of the notification that this has been done. The corresponding stamp is put on the first copy of the notification. The territorial office of the Bank of Russia writes a cover letter and sends it along with a notification to the Department of Licensing of Credit Institutions and Auditing Firms of the Bank of Russia.
Step 8
The Bank of Russia must enter the new representative office in the Book of State Registration of Credit Institutions. You should receive confirmation that this has happened. After that, the representative office can safely continue the activities it has begun.
