To register a limited liability company means to enter information about this legal entity in the Unified State Register of Legal Entities. The procedure for registering an LLC is strictly regulated. The registration and issuance of a certificate of state registration of an LLC is carried out by the bodies of the Federal Tax Service of Russia.
Instructions
Step 1
Determine the composition of the founders of the company.
Step 2
Prepare the memorandum of association and articles of association of the legal entity. The founders conclude an agreement between themselves on the establishment of a company, which contains information about the amount of the authorized capital, the size and value of shares, the procedure for paying the authorized capital, the obligation to register the company.
Step 3
Prepare the charter of the company.
Step 4
Have a founding meeting. The results of the constituent assembly are documented in minutes. The minutes shall reflect the name and address of the company, the composition of the founders, information on the approval of the charter, the person entrusted with registering the company.
Step 5
If there is only one founder, then a meeting is not required. The decision to create a company is formalized by the decision of the sole participant.
Step 6
If the payment of the authorized capital is made in money, then it is necessary to open a bank account and deposit funds, at least 50%.
Step 7
Pay the state fee for the registration of an LLC in the amount specified in Art. 333.33 of the Tax Code of the Russian Federation.
Step 8
Submit documents for registration:
- the application in the established form is signed by the person indicated in the protocol on the creation of the company;
- constituent documents;
- decision to create;
- documents confirming the payment of the authorized capital;
- document confirming the payment of the state duty.
Step 9
After the documents are handed over, a receipt is issued to the applicant.
Step 10
Registration takes place within five working days from the date of submission of all the necessary documents.
