Step 1

You will need to make changes to the charter of an LLC in the event that the composition of the participants has changed, the founders decided to change its name, the legal address of the company, its management have changed, there has been a decrease or increase in the authorized capital, or there is a need to adjust the activities indicated in this document. If the listed situations took place, make the appropriate amendments to the text of the charter of your LLC.

Step 2

Pay the state fee for registering changes to the constituent documents of legal entities and the state fee for making changes to the charter. They are equal to 400 and 800 rubles, respectively.

Step 3

In the tax office at the place of registration, take the application form for state registration of a legal entity. The form can be downloaded from the website of the Federal Tax Service of Russia. Complete and sign the application on behalf of the applicant - the head of the enterprise.

Step 4

Attach a package of necessary documents to the application. This is a notarized copy of the decision to amend the constituent documents, the text of the new charter of the LLC as amended, a receipt for payment of the state duty. The applicant's signature on the application must also be certified by a notary. For certification by a notary, you will need a full package of constituent documents, orders for the appointment of the general director and chief accountant, information on the changes made and additional information depending on the nature of these changes. This can be passport data of new participants, a list of activities according to OKVED, an adjusted amount of the authorized capital, etc.

Submit documents to the registration authority - tax office. You can do this yourself by handing them over according to the inventory, on a copy of which you must put a mark that the documents have been accepted. You can also send the entire package of documents by mail. The postal item must have a declared value and an inventory of the attachment.

Step 6

According to the law, no later than 5 working days after the date of receipt of the documents, the tax inspectorate must issue a certificate of making an entry on changes in the charter of an LLC and their registration in the state register.
