Step 1

Organize a meeting of shareholders, which will consider the issues of making changes to the charter of the OJSC, hold a vote, the results of which must be recorded by the secretary.

Step 2

Make changes to the charter of the JSC, which were approved by the general voting of shareholders. It is worth paying special attention to the fact that the changes made to the charter of an OJSC must comply with the legislation of the Russian Federation and be certified by a notary.

Step 3

Next, you need to fill out an application in the form of P13001 or 14001. These documents must be certified by a notary. For example, if you decide to make changes related to a change in the main activity of the company, then you will need to fill out two forms - Р13001 - changes made to the constituent documents, as well as Р14001 - to make changes to the Unified State Register of Legal Entities.

Step 4

Submit a charter request. Pay the state fee - 800 rubles (400 rubles - for making changes, 400 rubles - for issuing the charter).

Step 5

Prepare a complete package of documents: protocol (original) - 2 copies, directly, the charter itself, as amended - 2 copies, form 13Р001 or Р14001 - 1 copy, request for a charter - 2 copies, as well as a receipt for payment of state fees for the introduction of changes and for the issuance of the amended charter.

Step 6

After all the documents have been collected, contact the Federal Tax Service for the official registration of changes to the charter of the JSC. According to the legislation of the Russian Federation, the processing time for the relevant documents lasts five working days.

Step 7

Another very important point: the notary will require from you a certificate of state registration, the charter of an OJSC, a protocol on amending the charter of an OJSC. Be prepared to provide copies and the original.
