Step 1

Prepare a preliminary business plan for the future commercial banking institution. Judiciously assess your ability to organize a bank. Define the circle of persons who will become partners and founders of the enterprise. Provide opportunities for financing the activities of the future bank. In accordance with the law, the authorized capital of a commercial bank must be at least 180 million rubles. You will also need documents confirming the legality of the origin of the funds, which will make up the authorized capital.

Step 2

Make sure the founders of the commercial bank are in good standing. This presupposes no conviction for economic crimes, strict fulfillment of financial obligations to the state and private individuals. These data must be documented.

Step 3

Select the organizational and legal form of the future bank. It can be created as a limited liability company or as a joint stock company. It is necessary to carefully consult with a qualified lawyer regarding the choice of one form or another.

Step 4

Determine what the name of your commercial bank will be. With the help of a lawyer, draw up a memorandum of association, having previously discussed it with partners (founders). Work together to develop the organization's charter and the final and detailed business plan.

Step 5

Make a careful selection of your staff. First of all, define the structure of bank management. It should include various functional units and services. The efficiency of the bank as a whole will largely depend on the optimal distribution of functions. The management positions in the future bank should be occupied by professionals with appropriate qualifications and experience in this area.

Step 6

Go to the bank registration procedure. To do this, submit to the regional office of the Central Bank a package of documents determined by the banking law: an application in the prescribed form, charter, constituent agreement, information about the founders, documents for the right to use the premises, a receipt for payment of the state registration fee, and so on.

Step 7

After receiving a notification from the bodies of the Central Bank about the registration of the enterprise, pay the authorized capital of the bank in the amount determined by the law, the charter and the memorandum of association. This must be done before the expiration of a month from the date of registration of a legal entity. Submit payment documents confirming the fact of payment of capital to the organization controlling the bank. Now you have the right to carry out statutory activities in full.
