A cooperative is an association of organizations or people to achieve a common social or economic goal that is designed to meet the material or other needs of the participants. Since the cooperative is a legal entity, its registration takes place on the basis of the law of the Russian Federation "On State Registration of Legal Entities and Individual Entrepreneurs".
Instructions
Step 1
Gather a general meeting of the founders of the cooperative. Draw up the minutes of the general meeting, which notes the decision to create a cooperative. In the minutes of the meeting, it is necessary to mark all members of the cooperative who confirm their agreement with the decisions made by signing. Select the organizational and legal form for the cooperative and its name.
Step 2
Set the amount of the authorized capital. Approve the governing bodies of the cooperative. Determine the size of the contributions of each member of the cooperative in the authorized capital and the procedure for making them. Before registration, each member of the cooperative must make at least a tenth of his contribution to the authorized capital. The remaining amount is paid within a year after registration. Draw up the charter and articles of association of the cooperative participants. Determine the address of registration of the cooperative.
Step 3
Write an application for state registration of the cooperative in accordance with the P11001 form. Pay the registration fee. Submit all documents in duplicate, including the receipt and application, to the tax registration authority. He, in turn, will make a corresponding entry in the state register of legal entities about the created cooperative within five working days. The territorial authority for taxes and fees will register the cooperative with the tax service at the location of the created cooperative. If the provided documents are filled in incorrectly, they will be returned to you for revision. Having corrected all the shortcomings, return the documents to the tax officer in charge of your cooperative.
Step 4
Receive documents confirming the entry of a record on the creation of a cooperative as a legal entity in the Unified State Register of Legal Entities. The cooperative will be assigned an individual OGRN number.
Step 5
Open a cooperative checking account with a bank. Notify the tax office about opening a bank account.
