LLC is the most common form of organizations doing business in Russia. Step 1
To get started, you need the Articles of Association of your future LLC. This is a document that contains all the basic data of the organization: the full name, legal address, the amount of the authorized capital of the LLC, the rights and obligations of the founders of the company. To register, you will need a stitched and numbered original and a copy of this document.
Step 2
The charter must be approved at the general meeting of the founders of the company, as a result, the minutes of the meeting are signed. If you are the only member of a future organization, then you will need a decision to create a society. These documents reflect the size of the authorized capital and its distribution among the founders of the company, if there are several of them. The documents are printed and signed in 2 copies.
Step 3
If the LLC is created by several founders, you need to fill out an agreement on the establishment of a limited liability company. In it, list all the founders, their shares in the authorized capital and payment terms.
Step 4
For state registration, you need to fill out an application in the form P11001. In it, indicate the name of the organization, the address of location, information about the founders (the size of the share in the authorized capital, passport data), a list of activities, information about the general director of the LLC (passport data). Sign and certify the application in a notary office in 1 copy.
Step 5
Be sure to make a request for a copy of the charter, you will need this document in the future to open a bank account. This document is filled in 1 copy and is submitted along with all documents when registering an LLC.
Step 6
From the owner of the premises, if you are renting an office or building, you need to take a letter of guarantee and a copy of the title deed. The documents must be notarized. If the premises are owned by a company, you only need a document confirming the ownership.
Step 7
The final step during registration is to pay the state fee at any branch of the bank. Pay 2 fees - for the registration of the LLC and for the issuance of a copy of the charter. Then send the entire package of documents to the tax office at the place of registration of the company in the form of a registered letter with a list of attachments or take them personally. In 5 days you will receive a certificate of registration of a legal entity, a copy of the charter, a certificate of registration with the tax office and assignment of a checkpoint and TIN.
