A limited liability company (LLC) is a popular form of commercial organization for doing business. When creating an LLC, it is necessary to register it at the location of the enterprise. The founders of an organization can be either several individuals or a single founder.
Instructions
Step 1
Members of the constituent assembly should write a protocol on the creation of a legal entity, which is assigned a number and date. The chairman of the founders' council and the secretary of the constituent assembly have the right to sign this decision of the founders. The listed persons indicate their last name, first name and patronymic, certify the document with the seal of the company.
Step 2
Persons who are founders of an enterprise must fill out an application in the p11001 form when creating a company for its state registration, where you enter the full and abbreviated name of the organization in accordance with the constituent documents. On sheet B of this application, indicate your surnames, names, patronymics, residence addresses, contact numbers.
Step 3
Pay a state fee of four thousand rubles.
Step 4
The protocol on the creation of a legal entity, a completed and signed application for state registration of a legal entity upon creation, the constituent documents of the company, a receipt for payment of the state duty, submit to the tax office. Registration of your company will be completed within five working days.
Step 5
Fill out the form for the average number of employees of the limited liability company and submit it to the tax authority at the place of registration no later than the 20th day of the month in which you created the company and notified the tax authorities.
Step 6
In accordance with the Government Decree No. 584 of July 16, 2009, depending on the work performed, the list of which is indicated in this decree, write a notice of the beginning of the Company's activities. Send it in duplicate to the Office of the Federal Service for Oversight of Consumer Rights Protection and Human Welfare in the region of registration of your organization in electronic or paper form.
Step 7
If the type of activity of your enterprise belongs to those specified in the Federal Law No. 128-FZ of 08.08.2001, obtain a corresponding license.
Step 8
Open a current account in a bank of your choice and report it to the tax office at the place of registration of the Company.
