Before proceeding with the formation of constituent documents, it is worth choosing OKVED codes for the future organization. To do this, you need to use the reference book and select all that are most suitable in meaning to the characteristics of your future activities.

For small and medium-sized businesses, at first, a simplified taxation system is preferable.

When choosing the same object of taxation, one should take into account such factors as the share of the costs of supporting activities in the total revenue of the company, the number of employees and the share of their salaries in future turnover. Taking these indicators into account, it will not be superfluous to calculate the approximate tax burden for each possible option and stay at the minimum.

It is also necessary to resolve the issue with the legal address. If the type of activity does not involve renting an office, warehouse, production facility, the best option is to use the registration address of one of the founders. But this option is not possible for every business and not in all regions. So it is better to check with the tax office beforehand.

If there is a need to rent premises, it is optimal to register where you will conduct your business. Select a suitable area and take a letter of guarantee from the owner about the provision of premises for rent and copies of documents confirming his ownership of the property.

Choose the name of the future company. You can use full and abbreviated names in Russian and foreign languages and one of the languages of the peoples of Russia. Variants in Russian are required, the rest are optional.

You can deposit the authorized capital (from 10 thousand rubles) with money or property.

In the first option, a savings account is opened in the bank, to which at least half of the amount is deposited. The rest - within a year after registration. An appropriate certificate is taken from the bank.

When depositing property, the founders must evaluate it (if more than 20 thousand rubles, invite an appraiser) and unanimously approve the appraisal. Then you need to draw up an appraisal act, which is signed by all founders, and an act of acceptance and transfer of property to the company's balance sheet, signed by the founder and the general director.

Step 5

Then you need to prepare the constituent documents: the sole decision of the founder or the minutes of the general meeting, if there are several of them, on the establishment of an LLC, draw up its charter and, with several founders, conclude an agreement on the establishment of an LLC.

When all the documents are ready, you need to fill out an application for registration of an LLC, pay the state fee and take all the papers to the tax office.
