Ukrainian laws allow foreigners to conduct business on its territory. The simplest options for its legalization are considered to be the registration of TOV (analogue of LLC) and SPD (analogue of IP). The registration of business entities, in contrast to the Russian Federation, is not carried out by the tax authorities, but by the municipal authorities.

Step 1

Preparatory measures depend on which organizational and legal form the foreigner chooses for his business. In any case, you will need to obtain an identification code (analogue of the Russian TIN). For this, a passport (if necessary, translated into Ukrainian or Russian) and a migration card are enough.

If you plan to register an LLC (a partnership with an interconnected version is a Ukrainian analogue of LLC), no other measures are required. But to register a business entity, you will have to resolve the issue of a long stay in the country at the OVIR, and this is where you need to start.

Step 2

Upon completion of this formality, you can collect a package of documents for registration. There are several more of them for TOV than for SPD. It is necessary to prepare and certify two copies of the charter with a notary, draw up a decision on the establishment of a company, resolve issues with the introduction of the authorized capital (the easiest way is money through a bank) and a legal address (rent of non-residential premises or home address in the country of one of the founders).

From the future SPD, only a passport, proof of the legality of long-term residence and an identification code are required.

The registration form can be taken from the registering authority, and the fees can be paid at Oschadbank.

Step 3

Documents for registration of TOV, SPD and other business entities are accepted by special departments of district executive committees or other municipal authorities at the city or region level. The registration procedure for a complete package takes several days.

Then the company or entrepreneur must be registered with the tax service, off-budget funds and the statistics body, open a bank account and order a seal (for SPD it is not necessary, but its presence may be a prerequisite for obtaining a license for a number of activities).

After that, the new firm or entrepreneur can run a full-fledged business.
