Step 1

As a rule, an entrepreneur has a choice: register as an individual entrepreneur (IE) or create a legal entity (usually a limited liability company - LLC). Both options have their advantages and disadvantages.

An individual entrepreneur is registered for only one person, but in fact has all the rights of legal entities, freely uses the proceeds, is not required to have an authorized capital. However, he is liable for the obligations with all his property. He is not allowed to trade in alcohol. The process of registering an individual entrepreneur is simpler and less expensive.

Step 3

In an LLC, all participants are liable only within the framework of the authorized capital, i.e., the invested funds. To register an LLC, an authorized capital is required (while it is small - 10,000 rubles, it can be deposited with property), a current account and a seal. A director must be appointed in an LLC. The LLC has the right to withdraw funds only for certain purposes (since the funds in the settlement account of the LLC belong to the company, and not to its founders). Both LLCs and individual entrepreneurs can use a simplified taxation system.

To register an individual entrepreneur, you need to find an application form for registration of an individual entrepreneur on the Internet, fill it out and go to the tax office, taking with you also your passport, two copies of it and two copies of the TIN certificate. Registration of an individual entrepreneur with the tax office is carried out at the place of registration. The tax office will give you a receipt for paying the state fee and send you to a notary to certify the documents. The state fee is 800 rubles. The notary certifies the application, a copy of the passport and TIN for about 500-1000 rubles. Then you need to return to the tax office, submit the documents and write an application for the transition to the simplified taxation system in duplicate. After five working days in the same tax office, you must receive a certificate of registration of an individual entrepreneur and an extract from the register of individual entrepreneurs (USRN). From that moment on, you can consider yourself a registered entrepreneur. After that, all that remains is to open a bank account and get statistics codes from the Federal State Statistics Service.

Step 5

Registration of LLC in Moscow is carried out by the Inspectorate of the Federal Tax Service Inspectorate No. 46. To register an LLC, you need to prepare a package of constituent documents, which will include 2 original copies of the Charter of the LLC, the minutes of the general meeting of participants on the creation of an LLC (with two or more founders) and a receipt for payment of the state fee, amounting to 4000 rubles. It is also necessary to provide an application (form P11001), while the signature of the applicant - one of the founders - is certified by a notary. If desired, an LLC, like an individual entrepreneur, can use a simplified taxation system, for this it is necessary to write a statement on the transition to a simplified taxation system in two copies. In five working days, the founders will receive certificates of state registration, tax registration, registered constituent documents, an extract from the Unified State Register of Legal Entities (USRLE) and documents confirming registration with the Federal State Statistics Service. Then you will need to open a bank account and order a seal.

Step 6

The registration procedure for an LLC will cost about 5000-7000 rubles. If entrepreneurs turn to a specialized firm, they will have to pay at least the same amount, but this will save time and effort.
