If you decide to open a limited liability company in Novosibirsk, prepare all the documents before contacting the Unified Registration Center and draw up a certificate of state registration.
Instructions
Step 1
Select OKVED codes (minimum 3). The first code in the list when registering an LLC must indicate the main type of activity. They will need to be indicated in the constituent documents of the LLC.
Step 2
Find premises for your future company and take a letter of guarantee from its owner. If you, as a founder, are going to be the head of the company at the same time, you can, depending on the type of activity, register an LLC at your home address.
Step 3
Choose a name for your company and submit documents for its registration with Rospatent. Within 7 days you will receive an answer whether there are other organizations with a similar name or not. The use of someone else's name is prosecuted.
Step 4
Form the authorized capital. Distribute his shares among the participants. It can be entered both in cash and in securities or things (this can be, for example, a computer or a car, issued under a property valuation act). Open a savings account with a bank and deposit at least 50% of the authorized capital (the rest - within 1 year after registration).
Step 5
Decide on the creation of an LLC alone (if only you are the founder) or at the meeting of the founders. Accept the LLC charter. Draw up the minutes of the meeting. Sign the agreement on the foundation of the company. Decide on the appointment of a CEO and chief accountant.
Step 6
Fill out an application for registration of an LLC in the form 11001. Submit it to the ERC Novosibirsk at the address: Labor Square, 1. If you have any questions during the preparation of documents, call the help desk of the ERC by phone: (383) 375- 81-22.
Step 7
Attach all the documents you have prepared to your application and be sure to find out if it is possible for your company to immediately work under the simplified taxation system. If so, make an appropriate statement. Within 5 days from the date of application, you will receive the following documents from the ERC: - certificate of state registration; - registered charter and constituent documents; - certificate of tax registration; - extract from the Unified State Register of Legal Entities.
Step 8
Apply with the received documents to extra-budgetary funds (PFR, FSS, MHIF) for registration. Send an application for obtaining OKVED codes to Novosibirskstat.
