During the activity of any enterprise, it may be necessary to amend its Charter. This will need to be done in the event of a change in the name or legal address of a company, changes or additions to types of economic activity. In addition, it may be necessary to change the text of the Articles of Association or the amount of the authorized capital.
Instructions
Step 1
Changes to the charter can be made only on the basis of the decision of the general meeting of founders. Conduct such a meeting, in the minutes of which, reflect the results of voting on the issue of changes. Draw up the protocol properly. Sign it by the secretary and chairman of the general meeting.
Step 2
Make the changes adopted by the decision of the general meeting in the constituent documents. They must not contradict the current legislation.
Step 3
In accordance with the requirements of the legislation, if you had to redo the Charter, then all the changes made are subject to registration with the body carried out by accounting and registration. This is the tax office where your company is registered. Take from this tax office the unified application forms for amendments to statutory documents in the form P113001.
Step 4
Fill out the application form and, together with the package of documents, contact a notary to certify the application and the amended Articles of Association. Do not forget to take your passport and the original minutes of the general meeting with you. Pay the state fee for notarization of documents.
Step 5
Check with the tax authority at the place of registration who can submit the documents. In some STIs, the application is accepted only in person from the head of the enterprise, and in some it is provided for a reception from a person acting under a notarized power of attorney.
Step 6
Pay the tax fee for registering changes to the Articles of Association. It is not 800 rubles. To get your hands on a registered copy of the Charter, pay an additional fee of 400 rubles. Submit the documents to the tax authority for registration.
Step 7
According to the law, the necessary changes must be made to the Unified State Register of Legal Entities within 5 working days from the date of receipt of the application. After this period, you will receive a certificate from the State Tax Inspection confirming the introduction of changes and a new version of the Charter.
