Registration of changes made to the constituent documents of a legal entity is carried out in accordance with the Federal Law "On State Registration of Legal Entities" No. 129-FZ dated 08.08.2001. Step 1

Depending on the type of changes introduced, whether it be a change of director, a change in the name of an organization, a change in activities, the procedure for state registration will be carried out in different ways. The difference lies in the form of the submitted application and the amount of the state fee.

Step 2

If the changes concern the change of the director of the enterprise, you will need the minutes of the meeting of the company's participants on the change of the director, the notarized application form R14001, the order on the appointment of the new director. These documents are transferred to the IFTS at the place of registration of the legal entity. After making changes, it is necessary to notify the bank in which the legal entity is serviced.

Step 3

When changing the types of activities of a legal entity, amendments to the Unified State Register of Legal Entities are required. You will need the minutes of the meeting of the company's participants on making changes by type of activity, a completed and notarized application in the form of P14001. These documents are submitted to the IFTS. The term for making changes to the Unified State Register of Legal Entities is 7 days. After that, you will be given a Certificate of making the appropriate changes to the Unified State Register of Legal Entities.

Step 4

To change the name of a legal entity, you will need a protocol of the decision of the general meeting of participants in the company to change the name, an application form filled in and certified by a notary in the form of R13001, a receipt for payment of a state fee in the amount of 400 rubles, a new version of the charter with a new name of the company. Documents are submitted to the IFTS. After changing the name, it is necessary to change the seal, update the codes in the statistics department, get new registration numbers in off-budget funds (Pension Fund, MHIF). Be sure to notify the bank about the change in the name of the legal entity and renegotiate the banking service agreement.

Step 5

The package of documents for registering a change of address includes: a protocol with a decision to change a legal address, created following a general meeting of founders; an application for registration of changes related to the introduction of amendments to the constituent documents (form 13001 with a completed sheet to the legal address); company charter; a request for a copy of the charter and a receipt for payment of state fees (for registering changes and for a copy of the charter). Change of legal address takes 5 days. You also need to update the statistics codes and report the change of address to extra-budgetary funds.
