Step 1
First of all, decide at the expense of what funds the authorized capital will be increased (at the expense of the owners, for example). Read the constituent documents carefully, as they describe the procedure for making additional contributions. Let's say one of the founders decided to contribute. First of all, get a statement from him. In the document, he must indicate the amount of the contribution, the method of deposit (in cash to the organization's cash desk or to the current account), the size of the desired nominal share, the maximum deposit period.
Step 2
Have a founders meeting. The topic will be as follows: “Making additional contributions to the authorized capital”. Only after a positive resolution of all participants, the capital can be replenished. Be sure to draw up the minutes of the meeting, where you indicate the size of the nominal share of the founders. Draw up a new Charter or draw up changes on a separate sheet and attach it to the revision of the document.
Step 3
Make changes to the incorporation documents. To do this, fill out an application in the form No. Р13001. If you are accepting a new member, complete the form # P14001. Sign the statements only in the presence of a notary. For him to certify your signature, provide the minutes of the meeting, the statement of the founder and your passport details.
Step 4
Pay the state fee at a Sberbank branch. Collect a package of documents for registering changes with the tax authorities, where include certified statements, a receipt for payment of state duty, Articles of Association, documents on making a contribution. Receive a new extract from the Unified State Register of Legal Entities in due time.
