Each enterprise - legal entity must have its own seal, which is necessary to certify the signature of the head. Certified organizations are engaged in the production of seals, and it can be ordered only if there are documents confirming that the enterprise is active and registered in the Unified State Register of Legal Entities.
What is the organization seal for?
The laws governing the activities of enterprises of any form of ownership, including joint stock companies and limited liability companies, establish the need for them to have a seal. GOST R 6.30-2003, unifying the system of organizational and administrative documentation, provides for the certification of signatures of officials on documents certifying rights, fixing facts related to financial resources, etc. The list of those documents that require the signature of the head and certification with its seal must be approved by a separate order.
What is depicted on the seal
If your company does not have the right to use state symbols, you will need to make not a stamp, but a regular round seal for basic documents and, if necessary, an additional seal, for example, for certificates or documents of the personnel department. In order for the seal of the organization to have legal significance, the details of your company must be indicated on it.
Today these include:
- the full name of the enterprise with an indication of its organizational and legal form;
- the city in which it is registered;
- OGRN - main state registration number;
- TIN - taxpayer identification number, consisting of 10 digits:
- other tax and statistical codes of your choice.
How to order the production of a seal
The list of documents that must be submitted to the stamp workshop for the manufacture of a seal is not standardized, therefore, it should be checked with the manufacturer in advance. But in any case, you should provide:
- copies of statutory documents certified by a notary;
- an extract from the Unified State Register of Legal Entities confirming the state registration of the enterprise;
- a copy of the order on the appointment of the head of the enterprise;
- a copy of the order or other document on the basis of which this seal should be made;
- an application to the workshop for the manufacture of a seal with the attachment of its sketch.
In the event that the organizational and legal form of the enterprise is a joint-stock company, the seal manufacturer will need to present the minutes of the meeting of shareholders on the creation and production of the seal. When an officially registered trademark is to be depicted on the seal, it is necessary to provide a copy of the registration certificate certified by a notary.
