Limited Liability Companies (LLC) are considered the most common organizational and legal form among legal entities that are being created. Step 2
The first stage of organizing an LLC is the collection of all the necessary documents. It:
1. LLC charter (a standard form can be found on the Internet). You will need 2 copies for registration.
2. agreement on the establishment of an LLC or a decision on its establishment (if there is only one founder).
3. application form R11001 (available on the website of the Federal Tax Service of Russia). The applicant's signature on this form is certified by a notary.
4. 2 copies of the application for the application of the simplified taxation system (if you are going to use it).
5. documents on founders (passports of individuals, their TIN, constituent documents of Russian legal entities or extracts from the register of foreign legal entities or other confirmation of their legal status).
6. Receipt for payment of the state fee - 4000 rubles.
If you applied to a specialized company, then, as a rule, you will be asked to provide only information about yourself and pay a state fee. The rest of the documents will be collected by the firm itself.
Step 3
To organize an LLC, you must pay at least half of its authorized capital. Now it should be at least 10,000 rubles (in the future, it is expected to increase to 500,000 rubles). You can pay for it both with money and property. If the authorized capital is paid for in money, then before registering an LLC, it is necessary to open a savings account with a bank, where its amount will be credited. After registration of the LLC, the accumulation account will become a settlement account When depositing the authorized capital or part of it with property, an appropriate act must be drawn up. Subsequently, the property will be on the balance sheet of the LLC.
Step 4
Legal entities in Moscow are registered with the Federal Tax Service Inspectorate No. 46. All documents must be submitted there. So the LLC will be put on tax accounting and accounting in off-budget funds, it will be assigned statistics codes. The registration period is 5 working days. Upon completion of registration, the applicant receives certificates of state registration of LLC and tax registration, a registered charter, an extract from the Unified State Register of Legal Entities (USRLE) and documents confirming registration with extra-budgetary funds and Goskomstat. All he has to do is order the seal of his company. After registration, the LLC has the right to start its activities.
