Instructions
Step 1
Inform all members of the LLC, the director and other founders of your intention to sell the company. It is better to do this in writing or in the form of mailing with a list of attachments. Be sure to indicate in your message the terms of sale of the LLC - the approximate price, terms and other criteria.
Step 2
Wait for all participants to grant you their preemptive waiver. They must have their statements certified by a notary. They are obliged to provide them to you within a month (for individuals) or within ten days (for legal entities). Other terms are possible, if such are indicated in the charter of the LLC. Participants who wish to retain their preemptive rights must, within the same time frame, submit their written consent to the purchase of a share to you. They also have the right to refuse a purchase or not respond at all to your offer.
Step 3
Go to a notary to formalize the LLC purchase and sale agreement. Take the member statements and other key documents of the organization. Upon completion of the procedure, immediately go to the tax authority, since it is possible to complete the sale of an LLC in full only by making changes to the Unified State Register of Legal Entities.
