Step 1

Determine how much time and other resources you can spend opening a branch. Most likely, you will need to organize a whole team of specialists who will be engaged in opening an additional division of the company.

Step 2

Make a decision to create a branch and issue it with an order (decree) for the company. In a joint stock company, such a decision may be made by the board of directors or supervisory board.

Step 3

Develop and approve the regulation on the branch of the company. It should disclose the legal status of the unit, its location, list the functions and highlight other fundamental issues.

Step 4

Since, in accordance with the legislation, the branches must be indicated in the constituent documents of the legal entity that created them, make the appropriate changes to the charter of the enterprise. A joint-stock company requires a decision of the board of directors (supervisory board) to amend the charter.

Step 5

When the order to create a branch is issued and amendments to the constituent documents have been made, register the hiring of the head of the branch and his employees, giving the head the right to resolve personnel issues.

Step 6

Issue a power of attorney addressed to the head of the branch. This document will allow him to fully exercise his powers, since the instructions contained in the constituent documents alone are not enough for this.

Step 7

Provide for the costs of organizing the branch, including the registration of additions to the charter; for renting premises; for the purchase of property (office equipment, furniture, cars, etc.); for the remuneration of the head and employees of the branch; for opening a current account, obtaining a license, advertising, etc. The total cost of remuneration of employees of the branch will depend on their number, skill level and the amount of work determined by job responsibilities.
