Opening a limited liability company in Ukraine is considered the optimal organizational and legal form for business due to the simplicity of registration and minimal costs. In addition, the laws allow foreigners to act as founders.
It is necessary
- - passport;
- - migration card;
- - identification code (analogue of TIN);
- - the decision to establish an LLC;
- - notarized charter;
- - document on the contribution of the authorized capital;
- - a document on the legal address;
- - a receipt for payment of the registration fee.
Instructions
Step 1
To begin with, a foreigner who plans to become a founder of a Ukrainian legal entity must contact the territorial division of the tax inspectorate (STAU - State Tax Administration of Ukraine) and receive an identification code (local analogue of the Russian TIN). He is required to present a passport (Russians are better off with an internal one, since they need information about registration), photocopies of his pages with personal data and information about the place of residence, a migration card received at the border and its photocopy.
The passport must be translated into Ukrainian or Russian (no translation is required for citizens of the Russian Federation). The procedure is free of charge, cases of refusal to assign a code are unknown.
Step 2
Then you need to prepare a package of documents for registering an LLC. The set is generally equivalent to the Russian one: the decision to create an LLC, the charter (in Ukraine this document is certified by a notary), confirmation that the authorized capital has been contributed (since 2010, the minimum amount is only 869 hryvnia, the money is deposited into a temporary account that will be opened in any bank), and a legal address. The legal address of an LLC in Ukraine can be the address of registration of any of the founders. In such a case, a foreigner will have to buy housing or register with someone else. However, it is also possible to rent an office or industrial premises, but strictly from non-residential premises.
Step 3
You can pay the registration fee (state duty) in the amount of 170 hryvnia through Oschadbank of Ukraine (Ukrainian analogue of Sberbank of the Russian Federation). A registration card can be obtained directly from the registering authority, where to apply with all the documents (2 copies of the charter, the decision to open a company, a document on the contribution of the authorized capital) and a receipt for payment of the registration fee. In Ukraine, the registration of companies is not carried out by the tax authorities, as in the Russian Federation, but by a subdivision of the administration of a district, city or region.
Step 4
By law, registration of an LLC in Ukraine takes up to three business days. After that, the company must be registered with the tax service, statistics and compulsory social insurance. For a full-fledged activity, you also need to open a bank account and make a seal.
