Registration of an LLP is a legal procedure enshrined in the legislation of Kazakhstan, as a result of which a commercial organization is created as an independent unit. To register an LLP, it is necessary to collect a number of mandatory documents and pay a state fee.
Instructions
Step 1
Form a memorandum of association, on the basis of which an application for state registration will be submitted. The document is concluded in writing and contains the signatures of all founders or authorized representatives, after which it is notarized. The text of the agreement specifies the features of the status of individual participants.
Step 2
Draw up a charter of the LLP that defines the legal status of the partnership as a legal entity. This document can be executed independently or on the basis of the LLP Model Charter, which is regulated by clause 6 of article 17 of the Law of the Republic of Kazakhstan No. 220-1 dated April 22, 1998 "On limited and additional liability partnerships". The charter consists of: company name, location and address, list of participants, information on the authorized capital, conditions for reorganization and termination of activities, the procedure for distributing net income and other provisions that do not contradict the legislation of Kazakhstan.
Step 3
Determine the size of the authorized capital. It is formed by their amount of contributions of the founders. At the same time, the authorized capital cannot be less than 100 times the monthly calculation index valid as of the date of registration of the partnership. The contribution can be both in cash and in the form of securities, property or land use rights.
Step 4
Write an application for registration of LLP in Kazakhstan. To do this, contact the tax office and receive an application form. Fill out the document indicating the statutory and constituent information about the partnership. Pay the fee for state registration of a legal entity. Submit the entire package of documents to the tax office for registration.
Step 5
Use the services of an experienced lawyer or a specialized company for the registration of enterprises in Kazakhstan. The fact is that the procedure for registering an LLP does not take much time, but it requires certain legal and accounting skills, especially when choosing a tax regime, opening a current account and creating a seal.
