An operating enterprise is often faced with the need to amend and adjust its statutory documents. This may be required in many cases: when changing the composition of founders, introducing new members, changing the authorized capital, types of economic activity. In all these cases, it is necessary not only to make changes to the charter of the enterprise, but also to register them in the state register.
Instructions
Step 1
Regardless of what kind of changes are made to the company's charter, permission for this must be obtained by a majority of the founders. To officially obtain such permission, convene a general meeting of the founders, members of the society. Include the issue of changes in the agenda and vote on it. The entire procedure must be detailed in a protocol, which is then signed by all founders or an elected body of founders authorized to do so.
Step 2
Draw up a new version of the charter if there are many changes and they are significant. Minor changes can be formalized as a separate change sheet, which is then attached to the charter. Please note that the changes made must not contradict the regulations in force in the country.
Step 3
Contact the tax authority at the place of registration of your enterprise and receive in it a unified form of the P13001 form "Application for state registration of changes to the constituent documents of a legal entity." Please complete this form, but do not sign it. You will put your signature on it in the presence of a notary, to whom you contact for notarization of those changes in the charter that have been made. Attest to the notary's list of amendments to the charter of the enterprise by presenting him with the old version of this document and the minutes of the general meeting of founders. Pay the state fee for notary services.
Step 4
Together with a statement certified by a copy of the charter, an extract from the Unified State Register of Legal Entities and a receipt for payment, contact the tax office. Submit the documents according to the inventory and put a note on the date of admission on it. You must receive a new extract from the Unified State Register of Legal Entities within 5 working days.
