Step 1
LLC is a type of business partnership. Its main goal is to make a profit and share it among the founders. In Russia, LLC is the most popular form of commercial organization.
Step 2
To open an LLC in St. Petersburg, it is not necessary to resort to the services of special firms - you can do it yourself. First, decide on the number of founders who are ready to contribute finance as a share in the authorized capital. Those, according to the Civil Code, should be no more than 50 people. The founders are liable for the LLC's obligations only within the limits of their share - in other words, in the event of bankruptcy, you will lose no more than you invested in the business.
Step 3
Come up with a name. An LLC in St. Petersburg cannot be registered if it does not possess such an identifying feature as the presence of a unique name. The tax inspection of St. Petersburg may refuse to register you if the name of your company is incorrect, contradicts the legislation of the Russian Federation, or a company with the same name is already registered, but you do not have a franchise agreement.
Step 4
To register an LLC, you must have a legal address. The legal address is the actual address of the executive body of your organization.
Step 5
In addition, to register an LLC in St. Petersburg, you must provide such documents as:
- a pre-drawn and prepared charter of an LLC (an LLC with an absent charter cannot be considered as such officially and is not subject to registration);
- if there are several founders, it will be necessary to draw up a memorandum of association, which stipulates the rights and obligations of the participants, as well as the size of their shares and the scope of responsibility;
- the decision to open an LLC (if the founder is one person or a legal entity) or the official minutes of the meeting of the founders, at which it was adopted;
- a copy of the passport and TIN-certificate from each founder, future CEO and accountant;
- an application to the tax office with a corresponding request.
