Instructions
Step 1
The decision to create a legal entity. It can be drawn up by the minutes of the general meeting of the founders or by the decision of the sole participant of the company. It reflects the name of the company, its location, the amount of the authorized capital and the shares of the participants. The minimum amount is established by the Law on LLC and is ten thousand rubles. To assign the address of the company, you need to provide documents of title to the premises.
Step 2
Develop and approve the charter of the company, sign an agreement on the foundation of the company, if there are two or more members.
Step 3
Opening a bank account and paying at least 50% of the authorized capital. If contributions are made by property, then the founders must agree on its value or conduct an independent assessment.
Step 4
Payment of state fees and submission of documents for state registration. Registration of legal entities is carried out by tax authorities. The application is submitted on behalf of the person entrusted with registering the company at the general meeting of founders. The applicant's signature is certified by a notary.
